These terms are the agreement between you and zuykn. By using our website or services, you agree to them. If you do not agree, please do not use them.
zuykn is the trading name of Spectakl IO LLC, a company registered in Texas at 13901 Midway Rd, Suite 102-221, Dallas, TX 75244. "We," "us," and "zuykn" mean that company. "You" means you or the organization you represent. If you are agreeing for a company, you confirm you have authority to bind it. You must be at least 18.
We provide managed IT, Ai agents and automation, data platform engineering, and related consulting and software services, along with the content on zuykn.io. The specific work we do for you, and what it costs, is set out in a separate proposal, statement of work, or order. If that document conflicts with these terms, that document controls. Our services are for business use and are offered from the United States.
Give us accurate information and keep it current. You are responsible for your credentials and for everything done under your account. Tell us promptly at [email protected] if you suspect unauthorized use. We may refuse, suspend, or close an account at our discretion, including if the information you gave us is untrue.
You agree to pay all fees for the services you order, in US dollars, on the schedule in your proposal or order. Payments are handled by third-party processors, currently Stripe, Outseta, and Intuit, and are subject to their terms. You authorize us to charge your payment method for recurring fees until you cancel.
Late payments accrue interest at the lesser of 1.5% per month or the maximum the law allows, and you are responsible for our reasonable costs of collection, including legal fees. We may suspend the services until your account is current. Prices may change, and we will give you notice first. Fees exclude taxes, and you are responsible for all taxes except taxes on our income.
All sales are final and we do not issue refunds. Our services depend on third-party hosting, processing, and licensing costs we incur and cannot recover once committed. If you believe there is a billing error, contact [email protected] and we will look into it.
Use our services lawfully and sensibly. You agree not to:
We are not obliged to monitor use of the services, but we may. If we become aware of a breach, we may remove content, suspend or close your account, and report the matter to the appropriate authorities.
You keep ownership of the content and data you provide. You grant us the license we need to host, process, and transmit it in order to deliver the services. You are responsible for having the rights to that content and for its legality. We handle personal information as described in our Privacy Policy.
If you believe content on our services infringes your copyright, email [email protected] with a description of the work, where the material is located, your contact details, a statement that you believe in good faith the use is not authorized, and a statement under penalty of perjury that your notice is accurate and you are authorized to act. We will investigate, remove infringing material where appropriate, and may terminate repeat infringers.
We own or license the services, our website, our software, and our brand, including the zuykn name and logo. Nothing here transfers our intellectual property to you, and you may use the services only as these terms allow. Any feedback you give us we may use freely and without obligation to you.
Some of our software is released separately under the zuykn Private Commercial Use License. Where that license covers a piece of software, it governs your rights to that software and controls over this section.
Our services may link to or integrate with third-party sites and tools we do not control. We are not responsible for their content, products, or practices, and their terms and privacy policies govern your use of them.
These terms apply for as long as you use the services. You may stop at any time, subject to your order or statement of work. We may suspend or end your access, without notice or liability, if you breach these terms or if we reasonably need to in order to protect the services or comply with the law. Provisions that by their nature should survive, including fees owed, intellectual property, disclaimers, liability limits, indemnification, and dispute resolution, will survive.
THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Content on our site is general information, not professional advice for your situation. We do not warrant that the services will be uninterrupted, error-free, or secure, or that any particular result will be achieved. Some jurisdictions do not allow the exclusion of implied warranties, so parts of this may not apply to you.
To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business interruption, even if we were advised of the possibility. Our total liability to you, for any cause and regardless of the form of the action, is limited to the amount you paid us in the three (3) month period before the cause of action arose. Some US state laws do not allow these limitations, so parts of this may not apply to you.
You agree to defend, indemnify, and hold harmless zuykn, its officers, and its employees from any claim, loss, or expense, including reasonable legal fees, arising out of your use of the services, your content, your breach of these terms, or your violation of anyone's rights. We will notify you of any such claim, and we may take over its defense at our own expense.
These terms and your use of the services are governed by the laws of the State of Texas, without regard to its conflict of law principles.
Before filing suit, the party with the complaint will give the other written notice and the parties will try in good faith to resolve it for thirty (30) days.
You and we agree that any dispute will be brought exclusively in the state or federal courts located in Dallas County, Texas. You consent to the personal jurisdiction of those courts and waive any objection that they are an inconvenient forum.
EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY. EACH PARTY MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.
Any claim must be brought within two (2) years after it arises, or it is permanently barred. In any dispute, the prevailing party is entitled to recover its reasonable attorneys' fees and costs. Either party may seek injunctive relief in any court to protect intellectual property or stop unauthorized access to the services.
If you give us your mobile number, you consent to receive service-related texts. Reply STOP to opt out. Message and data rates may apply. We do not share mobile numbers with third parties for marketing.
These terms, together with any policies we post and any proposal or statement of work, are the entire agreement between us. Our failure to enforce a provision is not a waiver of it. We may assign our rights and obligations; you may not without our written consent. We are not liable for delay or failure caused by events beyond our reasonable control. If any provision is unenforceable, it is severed and the rest remains in force. Nothing here creates a joint venture, partnership, or employment relationship.
Notices to you may be sent to the email on your account; notices to us go to [email protected]. You consent to receive communications from us electronically and agree that electronic agreements, notices, and signatures satisfy any requirement that they be in writing. Our site may contain typographical errors or inaccuracies, including in pricing and availability, and we may correct them at any time without notice.
We may update these terms. We will change the date above and, where the change is significant, tell you. Continuing to use the services after a change means you accept it.
